These Terms & Conditions (“Terms”) govern your access to and use of Pearlaris Flow, a software service offered by Pearlaris LLC (“Pearlaris,” “we,” “us,” or “our”). By accessing or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Pearlaris Flow is a cloud-based business application made available to you under a separate agreement or order with Pearlaris (for example, a subscription, pilot, or internal deployment). Features, availability, and limits may change; we will use reasonable efforts to give notice of material adverse changes where practicable.

2. Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate registration information and notify us promptly at support@pearlaris.app of any unauthorized use.

3. Acceptable use

You will not misuse the service, including by attempting to gain unauthorized access, interfere with security or performance, scrape or overload systems in violation of our policies, upload unlawful or malicious content, or use the service in violation of applicable law. We may suspend or terminate access for violations.

4. Your data

You retain rights in data you submit to the service. You grant Pearlaris a limited license to host, process, and display that data solely to provide and improve the service and as described in our Privacy Policy. You represent that you have the rights needed to submit the data.

5. Intellectual property

The service, software, branding, and documentation are owned by Pearlaris or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred.

6. Third-party services

The service may integrate with third-party services (for example, email or identity providers). Those services are governed by their own terms; Pearlaris is not responsible for third-party services.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEARLARIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEARLARIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PEARLARIS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PEARLARIS’ AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PEARLARIS FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF NO FEES WERE PAID. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Indemnity

You will defend and indemnify Pearlaris and its affiliates against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the service, your data, or your violation of these Terms or applicable law, except to the extent caused by Pearlaris’ gross negligence or willful misconduct.

10. Term and termination

These Terms apply for as long as you use the service. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and governing law) will survive.

11. Changes

We may update these Terms from time to time. We will post the revised version on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction for disputes, subject to mandatory consumer protections in your jurisdiction where applicable.
